1. Acceptance of Terms

By accessing or using the Upreels website ("Site") and platform, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services.

2. Description of Service

Upreels is an online marketplace connecting creative professionals (such as videographers, photographers, and content creators) with clients seeking such services. We provide the platform for discovery and communication, but we are not a party to any direct contracts, agreements, or working relationships established between creators and clients outside of our platform.

3. User Eligibility

You must be at least 18 years old to create an account and use our services. By using Upreels, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.

4. User Accounts

To access certain features, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

5. Acceptable Use Policy

You agree not to use the platform to:

• Violate any applicable laws, regulations, or third-party rights.
• Post false, misleading, or fraudulent content or portfolios.
• Distribute spam, unauthorized advertising, or promotional material.
• Harass, abuse, or harm other users.
• Attempt to bypass or manipulate our subscription or payment systems.
• Scrape or collect data from the platform using automated means without our explicit permission.

6. Intellectual Property

Your Content: You retain ownership of all content, images, and portfolios you upload to your profile. By uploading content, you grant Upreels a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your content solely for the purpose of operating and promoting the platform. You represent that you have the necessary rights to grant this license and that your content does not infringe on any third-party rights.

Upreels Content: The platform itself, including its design, text, graphics, logos, and software, is the property of Upreels and is protected by copyright and other intellectual property laws. You may not copy, modify, or distribute our intellectual property without prior written consent.

7. Payments, Subscriptions & Refunds

Upreels Pro: Creators may opt to subscribe to Upreels Pro for enhanced visibility and features. The subscription fee is ₹499/month, billed automatically from the date of signup and recurring every month thereafter.

Cancellation: You may cancel your subscription at any time through your dashboard. Cancellations apply to future billing cycles; we do not provide refunds for partial months or past billing periods.

Client-Creator Payments: Upreels is not involved in the payment transactions between clients and creators for services rendered. Any disputes regarding payments, deposits, or refunds for creative services must be resolved directly between the client and the creator.

8. Disclaimers & Limitation of Liability

"As Is" Service: The platform is provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the reliability, accuracy, or availability of the platform or the quality of services provided by creators.

Limitation of Liability: To the maximum extent permitted by law, Upreels shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use or inability to use the platform, or any interactions or agreements between users.

9. Third-Party Links

Our platform may contain links to third-party websites or services (e.g., social media profiles, payment processors). We do not control and are not responsible for the content, privacy policies, or practices of any third-party websites. You access them at your own risk.

10. Termination

We reserve the right to suspend or terminate your account and access to the platform at our sole discretion, without notice or liability, for any reason, including if you violate these Terms & Conditions. Upon termination, your right to use the platform will immediately cease.

11. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Kerala, India.

12. Changes to Terms

We may modify these Terms & Conditions at any time. We will notify you of any material changes by posting the new terms on the Site and updating the "Last updated" date. Your continued use of the platform after such modifications constitutes your acceptance of the revised terms.
